In January, The Conference Board's blue ribbon Commission on Public Trust and Private Enterprise recommended ways to improve corporate governance. Profoundly troubled by recent corporate scandals, commission members felt that a key to making certain that acts of corporate malfeasance are minimized in the future is to establish an appropriate balance between managing the corporation and providing the independent board directors with the powers and resources they need to perform their oversight roles.
